Alvaro Mestre is a partner resident in the Washington DC office and chair of the firm’s Mexico Country Desk.
Project Development
Alvaro represents a mix of developers, owner/sponsors, manufacturers, contractors and other interested parties in the corporate structuring and overall development, construction, management, ownership, operation and maintenance of global infrastructure projects. He specializes in the energy industry and has a regional focus on the Americas. Over the course of two decades, he has represented clients in diverse forms of cross-border corporate transactions involving various renewable and conventional power producing technologies, including solar, wind, natural gas, nuclear and biofuels. Additionally, he has extensive experience in developing fuel transportation and storage projects, including some of the most significant cross-border US-Mexico natural gas pipelines in recent history.
Alvaro regularly drafts and negotiates material project agreements, including engineering, procurement and construction contracts; transportation services agreements; power purchase agreements; diverse interconnection agreements; operation and maintenance agreements; and fuel supply contracts. Alvaro also advises his clients on strategic investments and partnerships aimed at developing global projects. In this capacity, he drafts and negotiates all forms of joint development, shareholder and consortium agreements together with related corporate governance arrangements.
Mergers and Acquisitions
An integral part of Alvaro’s practice involves the acquisition and divestiture of projects and assets, particularly in the renewable energy sector.
Compliance
Alvaro often advises his clients on compliance matters and has specific experience in connection with the preparation and implementation of compliance programs focused on the US Foreign Corrupt Practices Act (FCPA). In this capacity, he provides a full array of services, including management-level briefings, in-house training and ongoing consultation services for his corporate clients.
