Brian represents public companies and closely held businesses in various business transactions. He has experience in private and public offerings of equity interests and debt securities.

Brian represents clients in a range of tax matters involving partnerships and limited liability companies, including formation, dissolution, mergers, and transfers of interests as well as preparation and negotiation of agreements in connection with these transactions. Brian also regularly addresses the tax concerns of regulated investment companies. Brian advises clients on state and local tax issues, including structuring transactions to reduce state taxes and tax due diligence in connection with reorganizations and restructurings.

Prior to practicing law, Brian was a certified public accountant. He focused on the audit of mutual funds, concentrating on the valuation of assets and expense reporting.
