Charles Lee is an associate in the Corporate Department and a member of the Capital Markets Group. He advises clients on federal securities law matters, with a focus on the following areas:

• Preparing periodic reports, proxy statements and other shareholder communications
• Complying with the federal securities laws’ registration, communication and disclosure rules in connection with capital raising transactions, business combination transactions, tender offers and spin-offs
• Reporting beneficial ownership pursuant to Section 13(d) and Section 16 of the Exchange Act
• Maintaining “best practice” corporate governance policies, responding to shareholder proposals and complying with stock exchange requirements
