John practices in the area of commercial real estate, with a focus on commercial mortgage loan originations, securitizations, workouts and restructuring, mezzanine and subordinate financings, as well as whole loan sales, participations, splits and syndications. His origination experience includes conduit as well as portfolio mortgage loans and has involved, among other things, credit-tenant leases and leasehold financings (including sublease financings), sale-leasebacks, recycled SPEs, master leases, multi-property and multi-state financings, tenants-in-common borrowing structures, mezzanine and subordinate debt, 1031 exchanges and reverse 1031 exchanges involving all types of commercial real estate: office, retail, hotel, health care, restaurant and industrial.
Further, John’s real estate practice includes the representation of buyers, sellers, investors and lenders in the acquisition and disposition of improved commercial properties and raw land. He has also represented developers in the development of residential subdivisions, golf courses and resorts.
He also has experience in all types of secured transactions and credit financings, mergers and acquisitions and private securities placement and financing.
John’s practice also encompasses advising clients as to antitrust issues associated with mergers, acquisitions and joint ventures. In particular, John assists clients with Hart-Scott-Rodino pre-merger notification filings.
