  • Karen practices in a wide range of general business, corporate, franchise, securities, real estate and real estate-based finance matters. She has extensive experience in the representation of lenders in association with real estate and asset-based lending including loan documentation and negotiation, supervision of loan closings and due diligence processes, loan assumptions both individually and pools as well as experience in commercial mortgage-backed securities, including representing loan sellers and issuers in representations and warranties compliance, disclosure and other matters related to the aggregation of loans for securitization.  She has also assisted lending clients with loan workouts and foreclosures. In connection with her practice, Karen has presented on a variety of title and survey issues to banking clients.

    She has routinely represented clients in various areas of real estate related matters including acquisitions and leasing, both as tenant and landlord, including the negotiation of related agreements and property related due diligence.

    Karen routinely assists a variety of clients in various intellectual property related matters including: reviewing and negotiating intellectual property related agreements such as software vendor contracts, licensing agreements, outsourcing agreements, hosting agreements, consulting agreements; representing various parties in the planning, design and implementation of electronic commerce strategies and arrangements (including those relating to business-to-business exchanges, co-branding, hosting, development and other similar activities), and counseling parties on data privacy and security issues.
