  • Vic has a broad corporate and securities practice that focuses on a variety of matters. Vic has extensive experience in M&A transactions (for both buyers and sellers), including representing private equity and venture capital growth funds in M&A and corporate finance transactions. Vic also represents hedge funds and private equity funds in fund formation and governance matters.

    Representative Experience

    • Represents private equity funds in connection with their formation and numerous acquisition, “add-on” and sale transactions in private companies involved in various industries, including manufacturing and sales, healthcare services and other service industries.
    • Represents both investment funds and recipient public companies in numerous private investments in public equity (PIPE) transactions involving convertible debt, convertible preferred stock, warrants and related investments.
    • Represents numerous private companies in purchase and sale transactions and in obtaining venture capital and bank financings. 
    • Represents various entities which “seed” U.S. and offshore hedge funds in negotiating their economic arrangements with the hedge fund managers.
    •  Represented two prominent nonprofit Dallas-based hospitals in connection with their affiliation and ultimate sale to a Dallas-based state medical center. This transaction was selected by the Dallas Business Journal as the "Best Non-profit Deal of the Year."
