The Mississippi Gaming Commission Meeting Minutes: December 16, 2016

The Mississippi Gaming Commission held its regular monthly meeting on Thursday, December 15, 2016, at 9:00 a.m. in the Jackson offices of the Mississippi Gaming Commission. Executive Director Allen Godfrey, Chairman Al Hopkins, and Commissioners Jerry Griffith and Tom Gresham were in attendance. The following matters were considered:

LICENSING

The Mississippi Gaming Commission approved licenses for the following:

  • Premier Entertainment Biloxi LLC d/b/a Hard Rock Hotel 7 Casino Biloxi, as a gaming operator.

  • Ainsworth Game Technology Limited, as a manufacturer and distributor.

  • Gaming Arts, LLC, as a manufacturer and distributor.

FINDINGS OF SUITABILITY

The Mississippi Gaming Commission approved findings of suitability for the following persons and entities:

  • Peter W. Ahl, Managing Director of H/2 Capital Partners LLC.

  • Steven K. Palmer, Managing Director of H/2 Capital Partners LLC.

  • Claudio M. Demolli, Senior Vice President and Treasurer of IGT.

  • Eric L. Press, Secretary of Hamlet Holdings LLC.

  • Michael A. Hart, Senior Vice President and Treasurer of Isle of Capri Casinos, Inc.

OTHER APPROVALS

  • Ainsworth Gaming Technology—Renewal of Shelf Offering Approval and Other Approvals

    • Continuous Approval of Public Offerings and/or Private Placements

    • Pledges of Equity Interests or Securities

    • Imposition of Equity Restrictions including Negative Equity Pledges

    • Guarantee of Securities and Hypothecation of Assets

    • Exemption from 13 Mississippi Administrative Code Part 2 Rule 8.5(a) and (b) – Corporate Licensees

    • Exemption from Miss. Code Ann. Section 75-76-207(1) and (4)

  • Majestic Holdco, LLC—Transfers of Units

  • Incredible Technologies, Inc.—Transfer of Shares

  • Penn National Gaming, Inc.—Pledges of Equity Interests or Securities and Imposition of Equity Restrictions including Negative Equity Pledges for a new financing

  • New Game Approval for “Over/Under”

PLAYER DISPUTE

The Commission approved the recommendation of the Executive Director to accept the hearing officer’s decision with respect to the following:

  • Player Dispute Hearing – Eric Anderson vs. RIH Acquisitions MS II, LLC d/b/a Bally’s Saloon Hotel & Gambling Hall
