Aaron's strong base of market knowledge on deal terms and strategies for navigating difficult situations comes from a decade representing clients in their most critical moments, including mergers, acquisitions, joint ventures and venture capital financing transactions.
Aaron typically serves as outside general counsel to emerging companies in the technology, healthcare, media and entertainment, and retail and consumer product sectors. These companies range from a founder with an idea to late-stage companies contemplating their options for a successful exit. Clients most often look to Aaron for help with structuring and negotiating complex arrangements designed to maximize the value of the company's products and technology assets, including multi-year software licensing agreements, life science technology licenses, supply, distribution and manufacturing agreements, and revenue-sharing and co-promotion arrangements. Aaron also regularly advises venture capital firms, private equity firms and individual investors in the structuring and completion of investments into similar companies.
Early in his career, Aaron spent much of his time working with family businesses most commonly in the manufacturing and services industries. Many of these clients continue to work with Aaron as they transition the business to future family generations or otherwise prepare for an exit to a strategic or financial partner.
Outside of the office, Aaron is active in the Chicago non-profit community and general health and fitness activities. Aaron spent a year volunteering at Rush Hospital as a bedside magician for Open Heart Magic before serving as chairman of the organization's board of directors. Aaron also co-founded and operates a Health and Fitness Law Blog, and continues to represent a variety of studio owners and fitness product and services businesses. Most recently, Aaron was a featured speaker at the Mindbody, Inc. (NASDAQ: MB) Annual BOLD conference, presenting to business owners concerning the advanced structuring and sale of their businesses.
