Harlan D. Kahn

Professional Biography

Harlan is a trusted legal advisor with more than 35 years of experience counseling clients on a wide variety of business matters. He handles corporate and real estate transactions of all kinds, including acquisitions and dispositions, ordinary course contract and lease negotiations, and the formation and startup of new businesses. Clients also call on Harlan for counsel regarding ancillary business issues such as employment and intellectual property matters. Harlan is well-versed in private securities offerings to raise initial and late-stage capital, equity investments, succession planning, and asset protection. He also represents lenders and borrowers in the documentation of secured loans.

Harlan acts as de facto general counsel for clients in a multitude of industries, including manufacturing, fabrication and recycling, consumer packaged goods, marketing and communications, printing, financial services, professional services such as medical and dental, management consulting, information technology, and human resources and staffing.

He has a particular concentration in the hospitality sector, representing numerous restaurants, clubs, chefs, retailers, and other high-profile clients in all aspects of their businesses. Additionally, he assists clients in the formation of shareholder, member, and partner relationships, as well as the resolution of related disputes.

Prior to joining Much, Harlan managed a boutique corporate and real estate law firm for over 25 years with co-founder Dan Bronson. Their firm, Bronson & Kahn, consolidated with Much in June 2018.

For the past several years, Harlan has served as a guest lecturer at Loyola University Chicago School of Law's Business Law Clinic, where he discusses real-world considerations for practicing business lawyers.
