John C. Scarborough, Jr

John Scarborough is an associate in the Miami office and a member of the corporate practice group, where he represents North American and European public and private companies in the biotech, telecommunications, maritime, beverage, and software industries. John has represented publicly traded companies, private equity firms and their portfolio clients, hedge funds, venture capital funds, and entrepreneurs. He focuses on capital markets transactions, specifically private investments in public equity (PIPE) transactions, initial public offerings (IPOs), and follow-on offerings. John counsels corporations and their boards of directors on matters of corporate governance, with an emphasis on the rules and regulations of national securities exchanges. He advises public companies on Exchange Act compliance, including periodic reporting, shareholder votes, and other Exchange Act filings.
