Kelsey Brandes is an associate in the Technology Transactions and Data Privacy practice in the Kansas City office. She negotiates technology and related transactions for clients across a variety of industries, including telecommunications, healthcare, and biotechnology. Kelsey is committed to understanding each client’s business model, practices and objectives in protecting and profiting from their intellectual property and related technologies. Prior to joining the firm, she was a summer associate at Polsinelli and served as a Civil Division Intern at the United States Attorney’s Office, Western District of Missouri.

Technology Transactions

Kelsey represents clients in their technology transactions, intellectual property protection and licensing, data and software licensing/usage, and other transactional matters. She has experience with drafting and negotiating software development arrangements, reseller agreements, master service agreement, transition services agreements, material transfer agreements and other aspects of technology and intellectual property transfer and licensing. In addition, she manages clients’ technology and intellectual property diligence for corporate transactions.

Information Security/Privacy

Kelsey is committed to understanding the challenges that businesses face when navigating the complex and ever-changing laws, regulations and industry standards governing collection, protection and use of information and data. She assists clients in understanding their legal and regulatory obligations and developing solutions to ensure they comply with these requirements, for example, by negotiating privacy and information security agreements and drafting terms of use and privacy policies for clients with an internet presence.
