  • Ms. Waters' practice is focused on all aspects of commercial transactions, including, but not limited to, commercial lending and borrowing, as well as corporate and commercial acquisitions, sales and financial restructurings. In the area of commercial lending, Ms. Waters represents both lenders and borrowers in connection with secured transactions; in addition, she assists her clients in the structuring of credit facilities, including asset based and real estate loans, working capital and acquisition lines of credit, and direct pay and stand by letters of credit. Ms. Waters also counsels lenders and borrowers in public finance transactions with a concentration on non-profit facilities and tax exempt revenue bonds from state agencies, including the New Jersey Economic Development Authority and New Jersey Educational Facilities Authority.

    Ms. Waters is also experienced in counseling buyers and sellers in asset, stock, limited liability company and partnership transactions, and advises clients with respect to the formation and organization of businesses, including, limited liability companies, corporations and partnerships. In the area of business transactions, Ms. Waters' skill set includes the preparation of various organizational agreements, (i.e., buy-sell agreements, pledge agreements and stock purchase agreements). In addition, she counsels clients in connection with partnership control matters and the rights of limited partners, as well as corporate governance issues relating to officers and directors.
