Adam counsels public and private companies in the life sciences, clean technology, and information technology sectors on matters related to equity and debt financings, mergers and acquisitions, complex commercial transactions, licensing and collaborations, and general corporate issues.
He has significant experience representing issuers and investment banking firms in connection with equity and debt financing, including common and preferred stock, convertible debt, and PIPEs. In addition, Adam often represents buyers and sellers in acquisitions, provides strategic counsel in connection to the structuring and negotiation of mergers, and handles asset acquisitions and stock sales for both private and public companies. He also frequently represents clients in structuring and negotiating complex commercial agreements, including collaboration agreements, license agreements, joint ventures, and development agreements.
