Alden Smith is an associate in Womble Carlyle’s Corporate and Securities Practice Group. His practice involves advising public and private companies on a wide range of corporate and securities matters. Alden counsels clients on corporate governance issues, raising capital, and completing mergers and acquisitions.
Additionally, Alden provides guidance to public companies on securities compliance and disclosure matters, including reporting and corporate governance requirements under federal securities laws and the rules of NASDAQ and the New York Stock Exchange. He has experience advising issuers on a broad range of securities matters, including proxy solicitation, Section 16 reporting, Rule 144 compliance, Section 13 beneficial ownership reporting, insider trading liability under Rule 10b-5, disclosure under Regulation FD, Dodd-Frank Act compliance, and periodic reporting on Forms 8-K, 10-K, and 10-Q.
