Michael Ena

Professional Biography

Michael Ena is a counsel in Cadwalader's Financial Services group. His practice focuses on derivatives, structured financial products and financing transactions. Michael represented financial institutions and corporate clients in connection with a broad range of equity derivatives (including hedging, monetization, structured share repurchase and share accumulation transactions), cryptocurrency and other digital asset derivatives, debt total return swaps, credit default swaps, repurchase and reverse repurchase transactions, interest rate and foreign exchange derivatives (including deal-contingent and finance-linked hedging transactions), financing arrangements (including fund of hedge fund and single manager hedge fund leverage, NAV facilities, subscription lines and margin loans), capital relief trades (CRTs), and matters involving convertible, exchangeable and equity-linked securities (including related call spread overlays and stock borrow facilities). Michael was included in the 2023 edition of the Best Lawyers: Ones to Watch in America for his work in Banking and Finance Law. Michael received his J.D., magna cum laude, from Fordham University School of Law and an M.S. in Computer Science from New York University. He also has a PhD. in Applied Mathematics from Moscow University. Prior to joining Cadwalader, Michael was a counsel at Skadden, Arps, Meagher and Flom LLP and worked as in-house counsel at an investment bank.
