In 2007, Nevada adopted the Model Registered Agents Act.  It is currently one of 10 states to have done so (plus the District of Columbia). Nevada’s enactment of the model act may have been predestined by the fact that the chair of the committee appointed by the National Conference of Commissioners on Uniform State Laws to draft the act was a Las Vegas, Nevada attorney and former Nevada state senator, Terry J. Care.  Neither California nor Delaware have enacted the model act.

The act provides one registration procedure for resident agents, regardless of the form of business entity.  Section 14 of the model act specifies the only duties of a registered agent under the act.  Nevada codified Section 14 as NRS 77.400

In 2015, Nevada amended NRS 77.400 to, among other things, require that a resident maintain the name and address of a contact person for each represented entity.  Last week, Nevada Secretary of State Barbara Cegavske announced that following an investigation M. F. Corporate Services (Nevada) Limited had paid a civil penalty of $10,000 for failure to comply with NRS 77.400.  The Nevada Secretary of State further announced that her office had received an expedited service request for the filing of a Resignation of Registered Agent for the 1,025 entities listed as represented entities of M. F. Corporate Services (Nevada) Limited.  The resignation takes effect on the 31st day after the day on which it is filed or the appointment of a new registered agent has been made – whichever is earlier.
